Agreement to our legal terms
We are Spinly ("Company", "we", "us", or "our"), a company registered in the United Kingdom at PO Box 7169, Unit 167488, Poole, England BH15 9EL, United Kingdom.
We operate the website https://www.spinly.network and related products and services that refer or link to these legal terms (collectively, the "Services"). You can contact us by email at spinlyinformation@gmail.com or by mail at the address above.
These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity, and Spinly concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by these Legal Terms. If you do not agree with all of these Legal Terms, you must discontinue use immediately.

1. Our Services
The information provided through the Services is not intended for distribution to or use by any person or entity where such distribution or use would be contrary to law or regulation or would subject us to any registration requirement. People who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
The Services are not tailored to comply with industry-specific regulations such as HIPAA, FISMA, or GLBA. If your interactions would be subject to those laws, you may not use the Services in a way that would violate them.
Most Spinly tools may be used without an account. Accounts are optional, although some features, including online saving for supported tools, may require an account, login, and internet connection.
2. Intellectual Property Rights
Our intellectual property
We are the owner or licensee of intellectual property rights in our Services, including source code, functionality, software, website designs, text, graphics, the Spinly brand, and related marks. We reserve all rights not expressly granted. Any breach of this section may terminate your right to use the Services immediately.
Your submissions
By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in that Submission. We may use and disseminate Submissions for any lawful purpose without acknowledgement or compensation.
You are responsible for what you send us. You confirm that your Submissions will not be illegal, harassing, hateful, harmful, defamatory, obscene, abusive, discriminatory, sexually explicit, false, inaccurate, deceitful, or misleading; that you have the necessary rights to submit them; and that they do not constitute confidential information.
3. User Representations
By using the Services, you represent and warrant that: you have the legal capacity and agree to comply with these Legal Terms; you are not a minor in your jurisdiction, or if a minor, you have parental permission; you will not access the Services through automated or non-human means except standard search engine or browser usage; you will not use the Services for an illegal or unauthorised purpose; and your use of the Services will not violate applicable law or regulation.
If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your access and refuse current or future use of the Services.
Optional accounts and account security
You may create an optional account to use features such as online saving. Where account information is required, you agree to provide information that is accurate and current. You are responsible for keeping your login details secure and for activity carried out through your account. Saved tool content
If you save tool content online, you remain responsible for that content and for having the right to use it. You must not save content that is unlawful, harmful, abusive, infringing, or intended to compromise the Services. You should not use Spinly to store private, confidential, sensitive, or regulated information.
4. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make them available. As a user of the Services, you agree not to:
- systematically retrieve data or content to create a collection, compilation, database, or directory without written permission;
- trick, defraud, or mislead us or other users;
- circumvent, disable, or interfere with security-related features;
- disparage, tarnish, or otherwise harm us or the Services;
- use information obtained from the Services to harass, abuse, or harm another person;
- make improper use of support services or submit false reports of abuse or misconduct;
- use the Services in a manner inconsistent with applicable laws or regulations;
- engage in unauthorised framing of or linking to the Services;
- upload or transmit viruses, Trojan horses, spam, or other material that interferes with the Services;
- engage in automated use of the system, including scripts, data mining, robots, or similar tools, except standard search engine indexing;
- delete copyright or proprietary rights notices from content;
- attempt to impersonate another user or person;
- upload or transmit material that acts as an information collection or transmission mechanism, including web bugs, cookies, spyware, or passive collection mechanisms;
- interfere with, disrupt, or create an undue burden on the Services or connected networks;
- harass, annoy, intimidate, or threaten our employees or agents;
- attempt to bypass measures designed to prevent or restrict access;
- copy or adapt the Services' software except as permitted by law;
- decipher, decompile, disassemble, or reverse engineer any software comprising part of the Services except as permitted by applicable law;
- use buying agents or purchasing agents to make purchases on the Services;
- make unauthorised use of the Services, including collecting usernames or email addresses for unsolicited email;
- use the Services to compete with us or for a revenue-generating endeavour not endorsed by us;
- use the Services for unlawful gambling, regulated lotteries, raffles, prize draws, or promotions without complying with applicable laws.
5. User Generated Contributions
The Services do not generally offer users a public posting system. Content you save online is not necessarily public, but it is still content transmitted to the Services. If any feature lets you create, save, submit, post, display, transmit, publish, distribute, or broadcast content or materials to us or through the Services ("Contributions"), you represent and warrant that your Contributions do not infringe third-party rights, are accurate, are not unsolicited advertising or spam, are not obscene, violent, harassing, libellous, abusive, discriminatory, threatening, or otherwise objectionable, and do not violate any law or these Legal Terms.
Any use of the Services in violation of these rules may result in termination or suspension of your rights to use the Services.
6. Contribution Licence
You and the Services agree that we may access, store, process, and use information and personal data that you provide directly to us, and your choices including settings, as described in our Privacy Policy.
By submitting suggestions or other feedback, you agree that we can use and share that feedback for any purpose without compensation to you.
We do not assert ownership over your Contributions. You retain ownership of your Contributions and any associated intellectual property rights. You are solely responsible for your Contributions and agree not to take legal action against us regarding Contributions you provide.
7. Advertisers
We may allow advertisers to display advertisements and other information in certain areas of the Services. We provide the space for such advertisements and have no other relationship with advertisers unless stated otherwise.
8. Services Management
We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms; take appropriate legal action against violators; refuse, restrict, limit, or disable content or accounts; remove files or saved content that are unlawful, unsafe, abusive, excessive in size, or burdensome to our systems; and otherwise manage the Services for safety, abuse prevention, legal compliance, and proper operation.
9. Privacy Policy
We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Privacy Policy explains optional account data, online saved items, local browser storage, shareable URLs, and Usage Data that may be collected by analytics, ads, hosting, consent, or security services.
The Services may be hosted or supported by providers in countries including the United States, Germany, Australia, the United Kingdom, and other locations. If you access the Services from another region, your information may be transferred to and processed in countries with different data protection laws.
10. Term and Termination
These Legal Terms remain in full force while you use the Services. We reserve the right, to the extent permitted by law, to deny or restrict access to the Services, suspend or terminate accounts, or remove saved content where reasonably needed for a breach of these Legal Terms, safety, abuse prevention, legal compliance, security, or service operation.
11. Modifications and Interruptions
We reserve the right to change, modify, or remove contents of the Services at any time for any reason without notice. We have no obligation to update information on the Services and will not be liable for modification, price change, suspension, or discontinuance.
We cannot guarantee the Services, accounts, or saved items will always be available, uninterrupted, recoverable, or retained permanently. We may experience hardware, software, network, or provider problems, or perform maintenance, resulting in interruptions, delays, errors, or loss of access. Keep your own copy of important information.
12. Governing Law
These Legal Terms are governed by and interpreted following the laws of the United Kingdom, and the United Nations Convention on Contracts for the International Sale of Goods is excluded. If you are a consumer habitually resident in the EU, you also have the protection of mandatory provisions of the law in your country of residence. Spinly and you agree to submit to the non-exclusive jurisdiction of the courts of London, United Kingdom, or the EU country in which you reside where consumer protection laws require it.
13. Dispute Resolution
Informal negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms, the parties agree to first attempt to negotiate informally for at least thirty (30) days before initiating arbitration, except for disputes expressly excluded below.
Binding arbitration
Any dispute arising from the relationship between the parties shall be determined by one arbitrator chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration, part of the European Centre of Arbitration seated in Strasbourg, in force when the application for arbitration is filed. The seat of arbitration shall be London, United Kingdom. The language shall be English. Applicable substantive law shall be the law of the United Kingdom.
Restrictions
Any arbitration shall be limited to the dispute between the parties individually. No arbitration shall be joined with another proceeding, no dispute shall be arbitrated on a class-action basis, and no dispute shall be brought in a representative capacity on behalf of the public or other persons.
Exceptions
Disputes seeking to enforce or protect intellectual property rights, disputes arising from allegations of theft, piracy, invasion of privacy, or unauthorised use, and claims for injunctive relief are not subject to informal negotiations or binding arbitration. If any part of this provision is illegal or unenforceable, the affected dispute shall be decided by a court of competent jurisdiction.
14. Corrections
There may be information on the Services containing typographical errors, inaccuracies, or omissions. We reserve the right to correct errors, inaccuracies, or omissions and to change or update information on the Services at any time without prior notice.
15. Disclaimer
The Services are provided on an as-is and as-available basis. You agree that your use of the Services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no warranties or representations about the accuracy or completeness of the Services' content or linked websites and assume no liability for errors, mistakes, personal injury, property damage, unauthorised access, interruption, bugs, viruses, errors, omissions, or losses arising from content or use of the Services. We do not warrant, endorse, guarantee, or assume responsibility for third-party products or services advertised or offered through the Services.
16. Limitations of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if advised of the possibility of such damages.
Notwithstanding anything to the contrary, our liability to you for any cause and regardless of the form of action will at all times be limited to £0. Certain laws do not allow limitations on implied warranties or exclusions of certain damages, so some limitations may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees and expenses, made by any third party due to or arising out of your use of the Services, breach of these Legal Terms, breach of your representations and warranties, violation of third-party rights, or any harmful act toward another user.
We reserve the right, at your expense, to assume exclusive defence and control of any matter for which you must indemnify us, and you agree to cooperate with our defence. We will use reasonable efforts to notify you of any such claim, action, or proceeding.
18. User Data
Local browser saves and online saves are separate. Local items are stored on your device and may be lost if you clear browser data, use a different browser or device, or the browser removes its storage. Logging in does not automatically move local items online unless the Services clearly provide that feature.
Online saved items are associated with your account and require login and internet access. We may maintain account data, online saved content, and technical data needed to provide and operate those features. We do not guarantee uninterrupted access, permanent retention, backup, or recovery of local or online saved items.
You are responsible for the data you enter, save, share, or transmit and for keeping any copy you need. To the extent permitted by law, we are not responsible for loss, corruption, unauthorised access, or inability to retrieve that data.
19. Electronic Communications, Transactions, and Signatures
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures, contracts, orders, and records, and electronic delivery of notices, policies, and records.

21. Miscellaneous
These Legal Terms and policies or operating rules posted by us constitute the entire agreement between you and us. Our failure to exercise or enforce any right shall not operate as a waiver. These Legal Terms operate to the fullest extent permissible by law. We may assign our rights and obligations at any time. We are not responsible for loss, damage, delay, or failure to act caused by causes beyond our reasonable control.
If any provision is unlawful, void, or unenforceable, that provision is severable and does not affect remaining provisions. No joint venture, partnership, employment, or agency relationship is created. You agree these Legal Terms will not be construed against us by virtue of having drafted them and waive defences based on electronic form or lack of signing.
22. Randomness and Results
Spinly provides random-picker and decision tools for entertainment, convenience, classroom, personal, and general organisational use. We do not guarantee that any result is suitable, fair, legally compliant, or appropriate for any particular purpose.
Some tools may include configurable modes, such as weighted, preset, sequence-based, DM, organiser, or advanced controls, meaning outcomes may be affected by settings chosen by the user. These controls are for demos, testing, storytelling, private agreed sessions, accessibility, and organiser use only. Do not present manipulated outcomes as fair random outcomes in serious, paid, official, public, regulated, gambling, prize-money, raffle, lottery, or deceptive competitions.
You are responsible for how you use the tools and for complying with laws, rules, or third-party requirements that apply to giveaways, promotions, sweepstakes, games, raffles, gambling, competitions, or other regulated activities.
